Terms of Use
Effective Date: 24 September 2026
These Terms of Use (“Terms”) govern access to and use of the websites, applications, software, digital platforms, content, products, features and related services made available by Gonardiya (“Gonardiya”, “we”, “us”, or “our”) (collectively, the “Services”).
By accessing, browsing, registering for, or otherwise using the Services, you agree to be bound by these Terms and by any additional terms, policies, notices, or conditions that are expressly incorporated into them.
If you do not agree with these Terms, you should not use the Services.
1. Definitions
For the purposes of these Terms:
“Services” means any website, application, platform, digital service, feature, content, tool, functionality, or other service made available by Gonardiya.
“User”, “you”, or “your” means any person who accesses or uses the Services.
“Content” means text, articles, documents, graphics, images, illustrations, interfaces, software, code, data, audio, video, metadata, designs, trademarks, logos, and other materials made available through the Services.
“User Content” means information, materials, submissions, comments, documents, files, or other content submitted, uploaded, transmitted, or otherwise provided by a user through the Services.
2. Acceptance of these Terms
Your access to or use of the Services constitutes acceptance of these Terms.
Where a particular Service provides additional terms, those additional terms will apply to the relevant Service together with these Terms.
If there is a conflict between these Terms and a specific service-specific agreement, the service-specific agreement will govern only to the extent of that conflict.
3. Eligibility
You may use the Services only where you have the legal capacity to enter into a binding agreement under applicable law.
Where a particular Service has additional eligibility requirements, age restrictions, registration conditions, or other requirements, those requirements will also apply.
If you use the Services on behalf of an organisation, business, institution, or other legal entity, you represent that you are authorised to accept these Terms on its behalf.
4. Access to the Services
Subject to these Terms and applicable law, Gonardiya may provide you with limited, non-exclusive, non-transferable access to the Services.
We may modify, suspend, restrict, discontinue, replace, or update all or any part of the Services at any time, including individual features or functionalities.
Access to particular Services may depend on technical requirements, registration, authentication, subscription status, geographic availability, or other conditions.
We do not guarantee that any particular Service or feature will remain available for any specific period.
5. Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms.
You agree to use the Services in a manner that:
- complies with applicable laws and regulations;
- respects the rights of Gonardiya and third parties;
- does not interfere with the operation or security of the Services;
- does not circumvent technical or access restrictions;
- does not introduce malicious code or harmful material; and
- does not otherwise misuse the Services.
6. Prohibited Activities
You must not, directly or indirectly:
- use the Services for unlawful, fraudulent, deceptive, or abusive purposes;
- attempt to gain unauthorised access to accounts, systems, servers, networks, or data;
- interfere with or disrupt the operation, availability, integrity, or security of the Services;
- introduce viruses, malware, ransomware, spyware, malicious scripts, or other harmful code;
- probe, scan, or test the vulnerability of the Services without authorisation;
- bypass authentication, rate limits, access controls, security measures, or usage restrictions;
- scrape, crawl, harvest, extract, or systematically collect information from the Services in a manner that is prohibited or materially burdensome;
- reproduce or exploit the Services for unauthorised commercial purposes;
- impersonate another person or entity;
- submit misleading, fraudulent, unlawful, or materially inaccurate information;
- infringe intellectual-property, privacy, publicity, contractual, or other rights of another person;
- use the Services to facilitate unlawful activity;
- attempt to reverse engineer, decompile, disassemble, or otherwise derive source code from software, except where expressly permitted by applicable law;
- remove or alter proprietary notices or technological protection measures; or
- use automated systems in a manner that materially interferes with the Services or violates applicable restrictions.
7. Accounts and Authentication
Certain Services may require the creation of an account.
Where an account is required, you are responsible for:
- providing accurate and reasonably current information;
- maintaining the confidentiality of authentication credentials;
- protecting devices used to access the account;
- ensuring that account activity is authorised; and
- promptly taking reasonable steps where you suspect unauthorised access.
You are responsible for activity conducted through your account except where applicable law provides otherwise or the activity resulted from circumstances outside your reasonable control.
We may suspend or restrict an account where reasonably necessary to protect users, the Services, or legitimate operational and security interests.
8. User Content
Where the Services permit users to submit or upload User Content, you remain responsible for that content.
You represent and warrant that:
- you have the necessary rights, permissions, and authority to submit the User Content;
- the User Content does not unlawfully infringe the rights of another person;
- the User Content complies with applicable law and these Terms; and
- your submission of the User Content does not violate a confidentiality, contractual, statutory, or other obligation.
You should not submit information that you are not authorised to disclose.
9. Licence to User Content
To the extent necessary to operate, maintain, secure, provide, improve, or technically process the relevant Service, you grant Gonardiya a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, transmit, display, format, adapt, and otherwise technically handle User Content.
This licence is limited to purposes reasonably connected with providing and operating the Services and does not transfer ownership of your User Content to Gonardiya.
Where the nature of a particular Service requires different rights, the applicable service-specific terms may provide additional details.
10. Content Provided by Gonardiya
The Services may contain Content provided by Gonardiya or by third parties.
Such Content may be provided for informational, educational, reference, operational, or other purposes.
Unless expressly stated otherwise, Content made available through the Services does not constitute a guarantee that the information is complete, current, accurate, error-free, or suitable for a particular purpose.
You remain responsible for evaluating information before relying upon it, particularly where decisions may have legal, financial, technical, commercial, professional, or other material consequences.
11. Intellectual Property
The Services and their associated Content may be protected by copyright, trademark, design, database, trade-secret, software, and other intellectual-property rights.
Except as expressly permitted by law or authorised by Gonardiya, you may not reproduce, distribute, publicly display, publish, modify, create derivative works from, sell, license, or otherwise exploit protected Content.
Nothing in these Terms transfers ownership of intellectual property from Gonardiya to you.
All rights not expressly granted are reserved.
12. Trademarks and Branding
Names, logos, identity marks, service marks, trade names, designs, and other branding elements associated with Gonardiya may be protected by applicable intellectual-property laws.
You may not use such branding in a way that falsely suggests sponsorship, affiliation, endorsement, partnership, or authorisation.
No right or licence to use any trademark or brand identifier is granted except where expressly authorised.
13. Third-Party Content and Services
The Services may contain links, integrations, references, applications, tools, or other functionality provided by third parties.
Third-party services may be subject to separate terms and privacy policies.
Gonardiya does not necessarily control, operate, endorse, or assume responsibility for independently provided third-party services or content.
Your use of third-party services is governed by the terms applicable to those services.
14. Third-Party Services Used by Gonardiya
Gonardiya may use third-party infrastructure, hosting, storage, authentication, analytics, security, communication, payment, software, and other service providers to operate or support the Services.
The availability, performance, and functionality of externally provided components may depend on those third parties.
Where a third-party dependency affects a Service, Gonardiya may modify, replace, suspend, or discontinue the affected functionality as reasonably necessary.
15. Availability and Changes
We aim to maintain reliable Services, but we do not guarantee uninterrupted, continuous, error-free, or universally available operation.
The Services may occasionally be unavailable because of:
- maintenance;
- upgrades;
- security measures;
- technical failures;
- infrastructure problems;
- third-party dependencies;
- network or connectivity issues;
- events outside reasonable control; or
- other operational circumstances.
We may release updates, corrections, modifications, or new versions of the Services without prior notice where reasonably necessary.
16. Security
We implement reasonable technical and organisational measures appropriate to the nature of the Services to protect systems and information against unauthorised access, misuse, loss, alteration, or disclosure.
However, no internet-based system, transmission method, or storage mechanism can be guaranteed to be completely secure.
You acknowledge that use of the Services involves inherent technical risks associated with internet communications and digital systems.
17. Privacy
Your use of the Services is also subject to the applicable Privacy Policy, which explains how information may be collected, used, stored, disclosed, and otherwise processed.
The Privacy Policy forms part of the framework governing the Services.
Where a separate service-specific privacy notice applies, that notice may contain additional information concerning the relevant processing.
18. Payments and Transactions
Certain Services may involve fees, subscriptions, purchases, transactions, or other charges.
Where applicable, the relevant pricing, billing, subscription, cancellation, refund, or transaction terms will be presented separately or at the time of the relevant transaction.
You are responsible for providing accurate transaction and billing information where required.
Unless otherwise stated, taxes, duties, levies, or similar charges that are legally applicable to a transaction may be payable in addition to stated amounts.
19. No Professional or Specialised Advice
Unless a Service expressly states otherwise, information made available through the Services is not a substitute for independent professional advice.
Content should not be treated as legal, financial, medical, tax, accounting, investment, technical, or other professional advice merely because it is presented through the Services.
Where professional advice is required, users should obtain advice appropriate to their circumstances.
20. Accuracy and Reliance
We may make reasonable efforts to maintain accurate and useful Services, but errors, omissions, delays, outdated information, or technical inaccuracies may occur.
To the extent permitted by applicable law, Gonardiya does not guarantee the completeness, reliability, availability, suitability, or accuracy of all Content or functionality.
You are responsible for independently evaluating material information before relying upon it.
21. Feedback
If you provide suggestions, ideas, recommendations, comments, or other feedback concerning the Services (“Feedback”), you grant Gonardiya a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit that Feedback for lawful purposes.
You acknowledge that Feedback may be used without payment or attribution unless otherwise agreed in writing.
22. Suspension and Termination
We may suspend, restrict, or terminate access to the Services, in whole or in part, where reasonably necessary because of:
- violation of these Terms;
- unlawful or fraudulent activity;
- security or technical risks;
- misuse or abuse of the Services;
- requests or requirements of lawful authorities;
- operational or business reasons; or
- other circumstances permitted by applicable law.
Where reasonably practicable and appropriate, we may provide notice before taking such action.
Termination or suspension does not affect rights or obligations that by their nature are intended to survive termination.
23. Effect of Termination
Upon termination of access:
- your right to use the affected Services may cease;
- access to certain account features may be disabled;
- information may be retained or deleted in accordance with applicable law, legitimate operational requirements, and the Privacy Policy; and
- provisions intended to survive termination will continue to apply.
24. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
Except where expressly stated otherwise or where a warranty cannot lawfully be excluded, Gonardiya disclaims warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties concerning:
- merchantability;
- fitness for a particular purpose;
- availability;
- uninterrupted operation;
- non-infringement;
- accuracy;
- reliability; and
- suitability for a particular use.
Nothing in these Terms excludes a statutory guarantee, representation, or right that cannot lawfully be excluded.
25. Limitation of Liability
To the maximum extent permitted by applicable law, Gonardiya and its officers, employees, contractors, service providers, licensors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses arising from or related to use of, inability to use, or reliance upon the Services.
This may include, where legally permitted, loss of data, loss of profits, loss of business opportunities, loss of goodwill, service interruption, or other indirect economic loss.
Nothing in these Terms limits liability to the extent that such limitation is prohibited by applicable law.
26. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Gonardiya and its officers, employees, contractors, service providers, licensors, and representatives from claims, liabilities, losses, damages, costs, and reasonable expenses arising from:
- your unlawful use of the Services;
- your violation of these Terms;
- your violation of applicable law;
- your infringement of another person’s rights; or
- User Content submitted by you where such responsibility lawfully applies.
27. Force Majeure
Gonardiya will not be responsible for delay, interruption, or failure caused by circumstances beyond reasonable control, including natural disasters, war, civil disturbance, governmental action, widespread infrastructure failure, telecommunications failure, cyber incidents, labour disruption, utility interruption, or failure of third-party infrastructure.
This provision does not remove any rights that cannot lawfully be excluded.
28. Governing Law
These Terms will be governed by and interpreted in accordance with the laws applicable to the relevant Services and the circumstances of the parties, without regard to conflict-of-law principles to the extent such principles may lawfully be excluded.
Where mandatory law grants a user rights that cannot be contractually displaced, those rights remain unaffected.
29. Jurisdiction
Subject to applicable law, disputes arising from or relating to the Services or these Terms may be subject to the jurisdiction of courts having lawful jurisdiction over the relevant matter and parties.
Nothing in this provision prevents a party from seeking urgent or protective relief from a court with appropriate jurisdiction where permitted by law.
30. Changes to these Terms
We may revise these Terms from time to time to reflect changes in:
- the Services;
- technology;
- security requirements;
- business practices;
- legal or regulatory requirements; or
- other legitimate operational considerations.
The revised Terms will become effective when published or otherwise made available, unless a different effective date is specified.
Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms, subject to applicable law.
31. Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent legally permissible and the remaining provisions will continue in effect.
The invalidity of one provision will not automatically invalidate the remaining Terms.
32. No Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or of the right to enforce it later.
Any waiver must be interpreted narrowly and will apply only to the specific circumstance for which it was given, unless otherwise required by law.
33. Assignment
You may not transfer or assign your rights or obligations under these Terms without prior authorisation where such authorisation is legally required.
Gonardiya may assign or transfer rights and obligations associated with the Services in connection with restructuring, reorganisation, merger, acquisition, financing, transfer of assets, or similar lawful business arrangements, subject to applicable law.
34. Entire Agreement
These Terms, together with the applicable Privacy Policy and any service-specific terms, notices, or agreements incorporated by reference, constitute the relevant agreement governing your use of the Services.
They supersede prior representations or understandings concerning the same subject matter to the extent permitted by applicable law.
35. Electronic Communications
Where permitted by law, communications, notices, records, consents, acknowledgements, and agreements made electronically may satisfy applicable requirements for written communications or records.
Electronic acceptance, authentication, or other affirmative action may constitute evidence of agreement where legally recognised.
36. Accessibility and Reasonable Use
We aim to make the Services reasonably accessible and usable across supported devices and environments.
Technical limitations, third-party components, browser differences, and other circumstances may affect accessibility or functionality.
Users should use the most appropriate supported environment for the relevant Service.
37. Children
Unless expressly stated otherwise, the Services are not intended to encourage unlawful collection or misuse of information relating to children.
Where applicable law requires parental or guardian involvement, age verification, or additional safeguards, those requirements will apply.
38. Compliance with Law
You are responsible for complying with all laws and regulations applicable to your use of the Services.
Nothing in these Terms authorises conduct that is unlawful in the user’s jurisdiction or otherwise prohibited by applicable law.
39. Relationship of the Parties
These Terms do not create a partnership, joint venture, agency, employment, fiduciary relationship, franchise, or other relationship between you and Gonardiya unless expressly agreed otherwise.
No person is authorised to represent that such a relationship exists solely by virtue of these Terms or use of the Services.
40. No Third-Party Beneficiaries
Except where expressly stated otherwise or required by applicable law, these Terms do not create enforceable rights in favour of persons who are not parties to the relevant agreement.
41. Survival
Provisions concerning intellectual property, User Content, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, confidentiality where applicable, and other provisions that by their nature should survive termination will continue after termination or expiry of these Terms.
42. Interpretation
Headings are provided for convenience and do not affect interpretation.
Words in the singular include the plural where appropriate, and references to persons include individuals, organisations, entities, and other legally recognised persons where the context permits.
The expression “including” means “including without limitation” unless the context clearly requires otherwise.
43. Language
These Terms may be made available in more than one language.
Where multiple language versions are provided, the applicable version will be determined according to the relevant Service or applicable law.
44. Updates and Effective Date
The effective date shown at the beginning of these Terms identifies the date from which the current version applies.
Where material changes are made, the updated version may also identify the date on which those changes take effect.
